OPAIPon joins the spot order book
Ondo Perps announced on 19 October that the OpenAI Private Market Note, trading under the symbol OPAIPon, was available on its spot order book around the clock. The announcement gives eligible users a way to trade exposure linked to a private company through a token. It does not mean that OpenAI has listed its shares on the platform or issued this instrument.
The distinction matters because the asset being bought determines both the holder’s rights and the route to a possible payment. Ondo describes OPAIPon as a note: a debt security whose payment depends on specified contractual events. Its name identifies the company used as a reference, rather than the company that owes the money.
What the token represents
The issuer is PM Issuer Co (BVI) Limited. Under Ondo’s general Private Markets description, one note references one common share of the relevant company. The holder receives no ownership or shareholder rights in that company. The note is also unsecured, meaning that shares or other underlying assets are not pledged as collateral for the obligation.
The token itself represents the note, with no separate paper certificate behind it. Its individual offering documents and token terms govern if they conflict with the general documentation. For someone comparing OPAIPon with an ordinary stock purchase, those terms are therefore central: a reference to a share’s economic performance does not provide the rights attached to owning that share.
Trading is fully funded, with its own fees
Ondo Perps’ Private Markets guide identifies OPAIPon as a fully funded spot asset. Buying purchases the note; selling uses notes already held and does not create a short position. There is no borrowing, leverage or recurring perpetual funding payment in this market. A note balance also cannot serve as collateral for the platform’s perpetual positions.
The guide lists introductory maker fees of 0.25% and taker fees of 0.50%. These are the Private Markets rates, rather than the rates for other spot or perpetual markets, and they may change. Orders can fill only partly or remain unfilled when available liquidity is insufficient.
Supported notes can be deposited or withdrawn through the platform’s usual flows, subject to asset, network and transfer restrictions. Withdrawing a token sends it to a wallet. It does not sell it or complete a redemption with the issuer.
A future payout follows a separate timetable
Ondo’s published product terms describe a ten-year term from initial issuance, with no interest or dividend income along the way. A qualifying liquidity event can include an initial public offering, an acquisition, other specified company events or expiry of the term. The eventual payment uses the settlement currency defined in the token terms, with tax withholding and settlement fees deducted where applicable.
An initial public offering does not produce an immediate payout at the IPO price. Ondo’s explanation says the relevant shares must have traded publicly for six months. The price is then fixed using the trailing ten-day volume-weighted average leading up to that date, and the issuer has up to 90 days to open the claim window. This is a conditional process, not an announced OpenAI listing date or a forecast of what OPAIPon will pay.
Eligibility applies to holding and claiming
The product is restricted to qualifying non-U.S. persons. People located in the United States, blocked jurisdictions, and sanctioned or otherwise prohibited persons are excluded. Receiving or holding a token does not by itself establish eligibility for a redemption payment.
When a claim window opens, the issuer requires checks including identity verification, confirmation of non-U.S. status, sanctions screening and acceptance of a claim agreement. The published terms also require proof of wallet control and describe a one-year claim window. Trading access and successful completion of that later process are separate questions.
A quoted price is not a promised exit
Before a qualifying event, secondary-market prices reflect buyers and sellers rather than a guaranteed redemption value. They can differ from private-company valuations and from the eventual payout. Continuous trading hours therefore do not guarantee that someone can sell the desired amount at the displayed price.
Ondo also states that the reference company has not sponsored or endorsed the notes and owes holders no payment. OPAIPon’s announcement should consequently be understood as an Ondo Perps market update, with exposure to both the note’s contractual conditions and its issuer.
